Single User Access License for MasterFormat®

BEFORE YOU REGISTER TO ACCESS MASTERFORMAT® ("CSI PRODUCT") ONLINE VIA HTTPS://EBOOKS.CSIRESOURCES.ORG (“WEBSITE”), PLEASE READ THIS SINGLE USER ACCESS LICENSE ("LICENSE").

IF YOU DO NOT AGREE WITH THIS LICENSE, DO NOT ACCESS THE CSI PRODUCT. BY ACCESSING THIS CSI PRODUCT, YOU ACKNOWLEDGE THAT YOU READ, UNDERSTOOD AND AGREED TO BE BOUND BY THE TERMS OF THIS LICENSE. 

1.  Grant

The Construction Specifications Institute, Inc. ("CSI") grants to you, a single user, a non-exclusive, non- transferable license to access the CSI Product online for structuring, presenting and organizing your work products used in construction projects. If you are a library or more than one user, or if you want to download a copy of the CSI Product, contact CSI at publications@csinet.org for another form of license.

 2.  Restrictions

You must not, without first obtaining CSI’s written permission:

• Use the CSI Product beyond the scope of the Grant above;
• Transfer, give, assign, sell or license access to the CSI Product to others;
• Download or copy the CSI Product;
• Modify the CSI Product;
• Interfere with or disrupt the Website, the normal use of the Website by other users or the servers or networks associated with the Website;
• Remove CSI's copyright notices from the CSI Product;
• Use the trademarks associated with the CSI Product or any other trademark that is likely to be confused with those trademarks;
• Incorporate all or any portion of the CSI Product into commercial construction software or other information products that you intend to provide, license or sell to third parties;
• Print hard copies of the CSI Product for commercial purposes;
• Translate or adapt the CSI Product; or
• Export the CSI Product to another

 3.  Ownership

You do not get any ownership rights in the CSI Product through this License. Your use of the CSI Product is temporary and CSI may terminate your access to the CSI Product at any time for any or no reason. CSI exclusively retains all ownership of the CSI Product now and after this License is terminated. The CSI Product is protected by United States copyright and trade secret laws and by international treaty provisions. The CSI Product name is protected by United States trademark laws. CSI exclusively retains all intellectual property rights in the CSI Product now and after this License is terminated.

4.  Confidentiality

You acknowledge that the CSI Product contains CSI proprietary trade secrets. You will maintain the confidentiality of the CSI Product using the same degree of care that you use to maintain the confidentiality of your own most confidential information. This provision survives License termination. 

5.  No Warranty

CSI PROVIDES THE CSI PRODUCT "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CSI DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU ACKNOWLEDGE THAT YOU USE THE WEBSITE AND THE CSI PRODUCT AT YOUR OWN RISK AND THAT CSI DOES NOT WARANT THAT: A) THE WEBSITE OR THE CSI PRODUCT WILL MEET YOUR REQUIREMENTS OR ENSURE ANY PARTICULAR RESULTS OR SUCCESS; OR B) THE WEBSITE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, OR WILL NOT DAMAGE YOUR COMPUTER. SOME JURISDICTIONS DO NOT ALLOW THE WAIVER OR EXCLUSION OF IMPLIED WARRANTIES SO THAT WAIVE OR EXCLUSION MAY NOT APPLY TO YOU. THIS PROVISION SURVIVES LICENSE TERMINATION. 

6.  Limitation of Liability

CSI WILL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE WEBSITE OR THE CSI PRODUCT EVEN IF CSI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CSI'S AGGREGATE LIABILITY UNDER THIS LICENSE OR WITH RESPECT TO THE CSI PRODUCT WILL NOT EXCEED THE LICENSE FEE THAT YOU PAID TO ACCESS THE CSI PRODUCT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES SO THAT EXCLUSION OR LIMITATION OF LIABILITY NOT APPLY TO YOU. THIS PROVISION SURVIVES LICENSE TERMINATION. 

7.  Termination

This License is effective until it is terminated by: a) you, by ending your access to the CSI Product; or b) CSI, for any reason, by notice to you. On License termination, your license to use the CSI Product and the related intellectual property ends. You may not retain copies of the CSI Product after License termination.

 8.  License Modifications

CSI may modify this License at any time for any reason. When it does, CSI will post the new license version to the Website. Changes will be effective immediately but not retroactively. You should check the Website regularly and, if you do not agree to the modified License, you should stop using the CSI Product. 

9.  General

This License: a) will be interpreted and enforced under Commonwealth of Virginia law without regard to its conflict of law principles and any litigation arising from this License will be held exclusively in Alexandria, Virginia courts; b) may not be assigned by you without CSI's prior written consent; c) is the entire agreement between the parties, and supersedes any and all prior written or oral understandings between the parties with respect to its subject matter; and d) may be severed if any provision of the License is found to be unenforceable with the remaining provisions continuing in full force and effect as if the unenforceable portion did not exist.
